Please read these Terms of Use ("Terms") carefully before accessing or using the Boost Lessons platform at www.boostlessons.com (the "Site"), including any associated mobile applications or services (collectively, the "Platform"). These Terms constitute a legally binding agreement between you and Boost Lessons LLC("Boost Lessons," "we," "us," or "our"). By accessing, registering on, or using the Platform in any way, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

IMPORTANT: THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. PLEASE READ SECTION 20 CAREFULLY.

1. About Boost Lessons

Boost Lessons LLC is an online marketplace platform incorporated in the State of Florida that connects students seeking tutoring and academic support ("Students") with independent tutors offering educational services ("Tutors"). Boost Lessons does not itself provide tutoring services. All tutoring services are provided by independent Tutors who use the Platform to market and deliver their services.

2. Definitions

• "Platform" means the Boost Lessons website, mobile applications, and all associated tools, features, and services.
• "User" means any person who accesses or uses the Platform, including Students, Tutors, parents, and administrators.
• "Student" means a User who registers to seek or receive tutoring services through the Platform.
• "Tutor" means an independent individual who registers to offer and provide tutoring services through the Platform.
• "Session" means a scheduled tutoring appointment conducted through or facilitated by the Platform.
• "Content" means any text, images, video, audio, data, or other material submitted or published on the Platform.
• "Fees" means all amounts charged to Students or paid to Tutors in connection with Sessions, including Platform service fees.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age, OR be at least 13 years of age with verifiable parental or legal guardian consent;
• Reside in the United States and have a valid Social Security Number or Employer Identification Number (required for Tutors receiving payment);
• Have the legal capacity to enter into a binding contract;
• Not be barred from receiving services under applicable law; and
• Agree to provide accurate, truthful, and complete information during registration and at all times thereafter.

Boost Lessons reserves the right to verify eligibility at any time and to deny or revoke access if eligibility requirements are not met.

If a User is under 18, a parent or legal guardian must consent to these Terms on the minor's behalf. All Sessions involving minors should be supervised by a responsible adult.

4. Account Registration

To access most features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete registration information;
• Maintain and promptly update your account information to keep it accurate;
• Maintain the confidentiality of your login credentials;
• Accept full responsibility for all activity occurring under your account; and
• Immediately notify Boost Lessons at support@boostlessons.com of any unauthorized use of your account or any other security breach.

Boost Lessons cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account. You may not share your account or login credentials with any third party.

5. The Marketplace — Nature of the Platform

Boost Lessons operates as an online marketplace. We provide the technology and infrastructure that enables Students and Tutors to connect, communicate, and transact. Boost Lessons is not a party to the tutoring relationship between Students and Tutors. As independent contractors, Tutors are solely responsible for:

• Determining their own teaching methods, materials, and approach;
• Setting their own hourly rates (subject to Platform minimums, if any);
• Managing their own schedules and availability;
• Complying with all applicable laws regarding their independent tutoring business; and
• Paying all applicable taxes on their earnings, including self-employment taxes.

NO EMPLOYMENT, PARTNERSHIP, JOINT VENTURE, AGENCY, FRANCHISE, OR CONTRACTOR RELATIONSHIP IS CREATED BETWEEN BOOST LESSONS AND ANY TUTOR BY VIRTUE OF THESE TERMS OR USE OF THE PLATFORM.

6. Tutor-Specific Terms

6.1 Application and Onboarding

To become a Tutor on the Platform, you must complete the Boost Lessons tutor application, which includes:

• Providing accurate information about your qualifications, education, experience, and subjects you wish to teach;
• Passing subject proficiency assessments or submitting written qualification statements as required;
• Agreeing to the Boost Lessons community standards and professional conduct guidelines;
• Agreeing to these Terms and the Boost Lessons Tutor Agreement; and
• Connecting a valid bank account or debit card via Stripe to receive earnings (Boost Lessons does not collect or store your financial information directly).

Boost Lessons reserves the right to approve or deny any tutor application at its sole discretion, with or without providing a reason.

6.2 Tutor Verification

Boost Lessons reviews tutor applications and may request supporting documentation regarding qualifications, education, or experience. Boost Lessons does not currently conduct formal criminal background checks or access third-party consumer reporting agencies. By applying as a Tutor, you represent and warrant that all information you provide is truthful, accurate, and complete, and that you have no history of conduct that would make you unsuitable to work with students, including minors. Providing false or misleading information is grounds for immediate removal from the Platform.

6.3 Tutor Conduct

Tutors agree to:

• Provide tutoring services honestly, professionally, and to the best of their ability;
• Only teach subjects for which they have accurately represented their qualifications;
• Not engage in academic dishonesty, including completing assignments, writing papers, or taking assessments on behalf of a Student;
• Maintain professional boundaries with all Students, particularly those who are minors;
• Respond to Student messages and booking requests in a timely manner;
• Log all completed Sessions accurately and within 14 days of the Session date; and
• Comply with all applicable laws, including those relating to working with minors.

6.4 Off-Platform Transactions

Tutors are strictly prohibited from soliciting or accepting payment for tutoring services from Students they connected with through the Platform outside of the Platform's payment system. Violation of this policy may result in immediate termination of your account and may subject you to legal liability for damages suffered by Boost Lessons.

7. Student-Specific Terms

Students agree to:

• Use the Platform solely for legitimate educational purposes;
• Not engage in, request, or facilitate academic dishonesty of any kind;
• Provide accurate information when booking Sessions;
• Pay all applicable fees in full and on time;
• Treat Tutors with courtesy and respect at all times;
• Cancel Sessions in accordance with the cancellation policy set by the Tutor and displayed on their profile; and
• Ensure that a responsible adult supervises all Sessions involving students under 18.

Students are responsible for selecting the right Tutor for their needs. Boost Lessons makes no guarantee regarding the qualifications, experience, or effectiveness of any Tutor.

8. Fees, Payments, and Payouts

8.1 Student Fees

Students will be charged the Tutor's stated hourly rate plus any applicable Boost Lessons platform service fee. All fees are displayed clearly at the time of booking. By confirming a booking, you authorize payment to be processed through Stripe, our third-party payment processor. Boost Lessons does not collect, store, or have access to your credit card or bank account information. All payment data is handled exclusively by Stripe in accordance with Stripe's Terms of Service and Privacy Policy.

8.2 Cancellations

Cancellation fees are determined by each Tutor's individual cancellation policy, which is displayed on their profile. Students acknowledge and agree to be bound by the applicable cancellation policy at the time of booking. Boost Lessons may charge a cancellation fee on behalf of the Tutor in accordance with the stated policy.

8.3 Tutor Payouts

Tutors will receive payment for completed Sessions via Stripe, Boost Lessons' third-party payment processor. Payouts are processed on a weekly basis to the bank account or debit card you register directly with Stripe, minus the applicable Boost Lessons platform fee. Boost Lessons does not collect, store, or have access to your banking or financial account information at any time. All payout data is managed exclusively by Stripe. Boost Lessons reserves the right to withhold or delay payment pending investigation of disputes, policy violations, or suspected fraud.

8.4 Payment Processing — Stripe

All payment transactions on the Boost Lessons Platform — including Student charges and Tutor payouts — are processed exclusively by Stripe, Inc., a third-party payment service provider. By using the Platform, you agree to Stripe's Terms of Service and Privacy Policy. You understand and acknowledge that:

• Boost Lessons does not collect, store, process, or have access to any credit card numbers, debit card numbers, bank account details, or other sensitive financial information;
• All payment data is transmitted directly to and stored securely by Stripe in accordance with PCI-DSS compliance standards;
• Boost Lessons is not responsible for errors, delays, or failures in payment processing caused by Stripe or your financial institution; and
• Any disputes regarding payment processing, charges, or refunds related to Stripe's services must be directed to Stripe directly.

8.5 Platform Fee

Boost Lessons charges a platform service fee on all transactions processed through the Platform. The current fee structure is disclosed at the time of registration and may be updated from time to time upon notice to Users.

8.6 Taxes

Tutors are solely responsible for determining and fulfilling their tax obligations. Boost Lessons will issue IRS Form 1099 to Tutors who earn $600 or more in a calendar year. Boost Lessons does not withhold taxes from Tutor payments.

9. Academic Honesty Policy

The Boost Lessons Platform exists to facilitate genuine learning. Users are strictly prohibited from using the Platform to:

• Complete assignments, projects, essays, or papers on behalf of a Student;
• Take quizzes, tests, or examinations on behalf of a Student;
• Assist any User in violating the academic integrity policies of any school, university, or institution; or
• Engage in or facilitate any other form of academic dishonesty.

Violation of this policy will result in immediate account termination and may be reported to relevant educational institutions or authorities.

10. User Content

Users may submit content to the Platform, including profile information, tutor bios, reviews, ratings, messages, and other materials ("User Content"). You represent and warrant that:

• You own or have the right to submit all User Content;
• Your User Content does not infringe any third-party intellectual property, privacy, or other rights; and
• Your User Content is accurate, lawful, and not misleading.

By submitting User Content, you grant Boost Lessons a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, publish, distribute, and display your User Content in connection with the operation and promotion of the Platform. Boost Lessons reserves the right to remove any User Content at any time and for any reason, including content that violates these Terms, is inaccurate, or is otherwise objectionable in Boost Lessons' sole discretion.

11. Prohibited Conduct

Users may not:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
• Harass, threaten, defame, or harm any other User;
• Create false or misleading profiles or misrepresent qualifications;
• Circumvent, disable, or interfere with security or access controls on the Platform;
• Scrape, crawl, or use automated tools to extract data from the Platform;
• Reproduce, resell, or commercially exploit Platform content without express written permission;
• Upload or transmit viruses, malware, or other harmful code;
• Spam, solicit, or send unsolicited commercial messages to other Users;
• Impersonate any person or entity; or
• Engage in any conduct that restricts or inhibits any other User's use of the Platform.

12. Intellectual Property

All content, features, and functionality on the Platform — including but not limited to software, text, graphics, logos, icons, and the Boost Lessons name and branding — are the exclusive property of Boost Lessons LLC or its licensors and are protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes. No other license or right is granted. You may not reproduce, modify, distribute, or create derivative works based on Platform content without prior written consent from Boost Lessons.

13. Student Data and Privacy

Boost Lessons is committed to protecting the privacy of all Users, with particular attention to the privacy of student data. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. When Boost Lessons provides services to Schools or educational institutions:

• Student Data remains the property of the School or Student, not Boost Lessons;
• Boost Lessons will not use Student Data for targeted advertising or commercial purposes;
• Boost Lessons complies with FERPA, COPPA, and applicable state student privacy laws; and
• Schools may request deletion of Student Data at any time by contacting support@boostlessons.com.

14. Safety

Boost Lessons takes the safety of all Users seriously. Users are required to:

• Conduct themselves professionally and lawfully at all times;
• Report any safety concerns, misconduct, or policy violations to support@boostlessons.com immediately;
• Ensure all Sessions involving minors are supervised by a responsible adult; and
• Not share personal contact information (phone numbers, home addresses) with other Users until a professional relationship has been established.

Boost Lessons reserves the right to investigate any safety concerns and to suspend or terminate accounts pending investigation.

15. Third-Party Services

The Platform may contain links to or integrations with third-party websites, tools, or services. Boost Lessons does not endorse and is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to the terms of those services.

16. Termination and Suspension

Boost Lessons reserves the right to suspend or terminate any User account, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or the Boost Lessons Tutor Agreement;
• Conduct that Boost Lessons, in its sole discretion, determines to be harmful, fraudulent, or inappropriate;
• Providing false, misleading, or fraudulent information during registration or at any time thereafter;
• Repeated failure to respond to Student messages or booking requests;
• Conviction of any criminal offense; or
• Any other reason Boost Lessons deems sufficient.

Upon termination, your right to access the Platform ceases immediately. Boost Lessons may delete your account data in accordance with its data retention policies. You may request termination of your own account at any time by contacting support@boostlessons.com.

17. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BOOST LESSONS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BOOST LESSONS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. BOOST LESSONS MAKES NO REPRESENTATIONS REGARDING THE QUALIFICATIONS, BACKGROUND, OR CONDUCT OF ANY TUTOR.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BOOST LESSONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF BOOST LESSONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Boost Lessons' total aggregate liability to any User for all claims arising out of or relating to these Terms or the Platform exceed the greater of: (a) the total fees paid by or to the User in the three (3) months preceding the claim, or (b) one hundred dollars ($100).

19. Indemnification

You agree to indemnify, defend, and hold harmless Boost Lessons LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or inability to use the Platform;
• Your violation of these Terms;
• Your violation of any rights of another User or third party;
• Any User Content you submit to the Platform;
• Your provision of or failure to provide tutoring services; or
• Your violation of any applicable law or regulation.

20. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

20.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact Boost Lessons at support@boostlessons.com and attempt to resolve the dispute informally. Boost Lessons will make a good-faith effort to resolve the issue within 60 days.

20.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by JAMS under its applicable rules. The arbitration shall be conducted in Orange County, Florida, unless the parties agree otherwise.

20.3 Class Action Waiver

ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING OF ANY KIND. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON.

20.4 Exceptions

Either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent irreparable harm pending arbitration.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Subject to the arbitration provisions above, you consent to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida for any disputes not subject to arbitration.

22. Modifications to These Terms

Boost Lessons reserves the right to modify these Terms at any time. We will notify Users of material changes by posting the updated Terms on the Platform and updating the effective date, and where appropriate, by sending an email notification to the address on file. Your continued use of the Platform following the posting of changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
